End User License Agreement

1. Introduction

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and Cubby Cards(“we,” “us,” or “our”) governing your use of the Cubby Cards digital business card platform, including its website, mobile interface, APIs, and related services (collectively, the “Service”).

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, you must not access or use the Service.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal or professional business card creation and sharing.
  • Create, customize, and publish digital business cards using the features provided.
  • Share your card URL and QR code through any medium of your choice.

This license is granted for the duration of your account's active status and terminates automatically upon account deletion or violation of this EULA.

3. License Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Service or its underlying code.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to transmit malware, phishing links, or any harmful content.
  • Impersonate another person or entity through your card profile.
  • Use the Service in violation of any applicable laws or regulations.
  • Exceed rate limits or otherwise disrupt the Service's infrastructure.
  • Create multiple accounts to circumvent free tier limitations.

4. Intellectual Property Rights

The Service, including its design, layout, graphics, logo, brand name, and underlying technology, is the exclusive intellectual property of Cubby Cards. All rights not expressly granted are reserved.

You retain full ownership of the content you create using the Service (your name, title, bio, profile image, and any customizations). By using the Service, you grant us a limited, worldwide, royalty-free license to store, display, and process your content solely for the purpose of providing the Service to you.

5. User Accounts & Security

  • You are solely responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and current information during registration.
  • You must notify us immediately of any unauthorized use of your account.
  • We are not liable for any loss or damage arising from your failure to protect your account.
  • We reserve the right to suspend or terminate accounts that violate this EULA.

6. Subscriptions, Payments & Refunds

Free Tier: The Service offers a free tier with limited features. We reserve the right to modify free tier limits at any time with reasonable notice.

Pro Subscription: Pro plan subscriptions are billed monthly or annually as selected at checkout. All payments are processed securely through third-party payment processors (currently PayPal).

Refund Policy: All subscription payments are non-refundable. You may cancel your subscription at any time through your account settings or PayPal. Cancellation takes effect at the end of your current billing period. No prorated refunds will be issued for partial months.

Price Changes:We reserve the right to change subscription fees with 30 days' notice. Price changes will not affect your current billing period.

7. Acceptable Use

You agree to use the Service in a lawful and responsible manner. Prohibited uses include:

  • Creating cards that contain false, misleading, or defamatory information.
  • Using the Service for spam, solicitation, or unsolicited messaging.
  • Uploading content that infringes on third-party intellectual property rights.
  • Using the Service to distribute malware, viruses, or other harmful code.
  • Engaging in any activity that could damage, disable, or impair the Service.

8. Data Privacy

Your privacy matters to us. Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to the data practices described in that policy, including the use of cookies, analytics, and third-party service providers.

9. Third-Party Services

The Service integrates with third-party services including Supabase (database and authentication), Vercel (hosting), PayPal (payment processing), and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or performance of these third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CUBBY CARDS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from your use of the Service shall not exceed the greater of: (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Cubby Cards, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of this EULA, (b) your content that infringes any third-party rights, or (c) your violation of applicable laws.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if you violate this EULA. Upon termination:

  • Your license to use the Service immediately ceases.
  • We may permanently delete your account and associated data after 30 days.
  • Any prepaid fees are non-refundable (except as required by law).

You may terminate this agreement at any time by deleting your account and ceasing use of the Service. Sections 3, 4, 10, 11, 12, and 14 shall survive termination.

14. Governing Law & Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of Macau SAR, without regard to its conflict of law principles.

Any disputes arising from this EULA shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to the competent courts of Macau SAR. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

15. Changes to This Agreement

We reserve the right to modify this EULA at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the updated terms. For material changes, we will provide notice via email or through the Service at least 14 days before the changes take effect.

16. Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

This EULA, together with the Privacy Policy, constitutes the entire agreement between you and Cubby Cards regarding your use of the Service and supersedes any prior agreements or understandings.
